Halo Reels Pro User Service Agreement

I. Reading Notice & Agreement Confirmation

This Agreement sets forth the rights, obligations and liabilities between you and the operator of Halo Reels Pro when you access, log in to or use Halo Reels Pro products and services.

Prior to using the Services, please read this Agreement in full, with special attention to provisions regarding refund policies, breach handling, indemnification, disclaimers and limitation of liability. If you do not accept any term herein, you shall cease accessing or using Halo Reels Pro.

By logging into or actually using any product, function or service of Halo Reels Pro, you acknowledge that you have read and fully accepted this Agreement and agree to use the Platform subject to its terms.

Users under the age of 18 or lacking full civil capacity shall read this Agreement accompanied and guided by their legal guardians, and pay close attention to rules applicable to minors. If you register, log in or use the Services without completing the foregoing reading process or obtaining guardian consent, you shall bear all adverse consequences arising therefrom, and Halo Reels Pro reserves the right to terminate service provision to you.

Definitions under this Agreement:

  1. "Halo Reels Pro", "the Platform", "we", "us" or "our": the legal entity duly authorized to operate Halo Reels Pro;
  2. "User" or "you": any natural person accessing or using Halo Reels Pro products and services.

All persons using any product or service under Halo Reels Pro shall abide by this Agreement, which constitutes a legally binding contract between Users and the Halo Reels Pro operator.

II. Matters to Note Before Accessing the Platform

2.1 Equipment, Network and Related Fees

You shall independently purchase and prepare computers, mobile phones or other terminal devices required to use Halo Reels Pro.

All communication fees, internet charges, data traffic fees and other related expenses incurred during use shall be borne solely by you.

You acknowledge that operation of the Platform may occupy storage space on your terminal device and consume a certain amount of network bandwidth and data resources.

2.2 Client Software License

Certain Platform Services require downloading and installing client software for access.

Halo Reels Pro grants you a personal, non-exclusive, non-transferable license to use the Software solely for accessing and utilizing Halo Reels Pro products and services. You may not use the Software for any other purpose, nor transfer the license to any other individual or entity.

Halo Reels Pro may release software updates from time to time to enhance service security, optimize user experience or improve product functionality.

You are advised to install the latest version promptly. Halo Reels Pro cannot guarantee stable operation if you continue using outdated versions.

2.3 Login Methods & Account Safekeeping

Halo Reels Pro permits guest-mode access to partial products and services. To mitigate the risk of account loss, we recommend logging in via Google Account or other officially authorized channels recognized by the Platform.

You shall properly safeguard your account, password and other login credentials, and log out timely after each session.

If insufficient security measures on your part result in unauthorized access or use of your account, you shall bear all liabilities and losses arising therefrom.

Halo Reels Pro shall not be legally liable for any leakage of account security information or personal privacy, or losses stemming from such leakage, where the leakage is not caused by Halo Reels’ fault.

III. How the Platform Processes and Protects User Information

Protecting Users’ personal information is a core principle followed by Halo Reels Pro in its operations.

When you log into Halo Reels Pro via third-party authorized channels, we will adopt commercially reasonable technical and administrative safeguards to establish corresponding information protection mechanisms and reduce risks of unauthorized access, use or disclosure of your personal information.

You may view or update your submitted personal information at any time.

In principle, Halo Reels Pro will not disclose your personal information to enterprises, institutions or individuals outside the Platform without your prior consent, save where disclosure is mandated by laws and regulations.

Halo Reels Pro shall only disclose or provide user registration materials and non-public content, information and data stored on the Platform to third parties under the following circumstances:

  1. You have pre-authorized Halo Reels Pro to disclose the relevant information;
  2. Applicable laws and regulations explicitly mandate Platform disclosure;
  3. Governmental or judicial authorities issue disclosure orders via legal instruments;
  4. Disclosure is necessary to safeguard public interests;
  5. Disclosure is required to protect Halo Reels’ legitimate rights and interests.

Halo Reels Pro attaches equal importance to the protection of minors’ personal information. If a guardian deems the Platform suitable for their minor child (especially children under 10 years old), the guardian may register an account under their own identity and independently determine whether Platform content and services are appropriate for the minor.

IV. Platform Charges, Advertisements and Commercial Service Arrangements

4.1 Free and Paid Services

Halo Reels Pro may provide services free of charge or on a paid basis depending on specific products and functions. Fees collected by the Platform qualify as internet value-added service charges.

Certain content or functions require payment to unlock. Specialized rules or payment prompts will be displayed in advance on pages corresponding to such Services. If you decline to pay the relevant fees, you will be denied access to the corresponding paid content or functions.

Different pricing standards and billing models may apply to distinct products, services, or the same service across different usage stages. Halo Reels Pro reserves the right to independently determine specific pricing and charging modes.

4.2 Adjustment of Charging Rules

Halo Reels Pro may adjust operational policies as needed, including:

  1. Revising prices for existing paid services;
  2. Modifying top-up standards or billing rules;
  3. Introducing charges for previously free services.

The Platform will post advance notices prior to any price or billing adjustments.

Updated charging standards and top-up rules take effect upon publication and form an integral part of this Agreement. Your continued use of affected Services after adjustments constitutes acceptance of the new charging terms; if you reject the revised terms, you may discontinue use of the relevant Services.

4.3 Account Balance and Refunds

Funds you top up to your Halo Reels Pro account may only be redeemed or spent on Platform products and services covered under this Agreement.

All consumed or service-redeemed funds are non-refundable.

If you submit a refund application for unspent balance and obtain Platform approval, Halo Reels Pro will remit the corresponding funds via the original payment channel in legal tender, deducting a 10% processing fee from the refund amount. If refunds cannot be processed through the original payment method, you may contact customer service to arrange an alternative refund channel.

4.4 Monthly Content Subscriptions

Paid on-demand content on Halo Reels Pro operates on a monthly subscription basis.

Subscription terms commence upon successful payment, and the Platform only guarantees normal viewing access during the valid period. Halo Reels Pro bears no liability if you lose access to relevant content upon subscription expiry.

Once a content subscription order is successfully paid, modifications are not permitted. Subscription fees are non-refundable unless you obtain prior written consent from Halo Reels Pro. This non-refund policy remains enforceable even if Services are suspended, terminated or the subscribed content is removed from the Platform thereafter.

4.5 Virtual Currency and Top-Up Operations

Certain in-platform goods require designated virtual currency for purchase. Different types of virtual currency may apply to different goods, and you must settle payment using the currency specified for each item.

Users are prohibited from privately purchasing, selling, transferring or trading Platform virtual currency among themselves. Such conduct constitutes a material breach of this Agreement, and Halo Reels Pro may impose restrictions or control measures to curb such activities without prior notice.

In principle, completed top-up transactions are irrevocable and unmodifiable.

Please verify your top-up account, payment amount and other transaction details prior to confirming payment. Halo Reels Pro shall not compensate for losses caused by incorrect account entry, misunderstanding of charging rules or other user operational errors.

When paying via third-party payment channels, you shall also comply with the service agreements of such payment platforms and independently safeguard your personal and payment information.

Disputes arising from third-party payment transactions shall be resolved solely by the parties to the transaction, with no liability attached to Halo Reels Pro.

If your account is suspended or terminated for breaching this Agreement, you shall have no right to demand compensation from Halo Reels Pro for account balance, virtual currency or other in-platform entitlements.

4.6 Handling of Abnormal Top-Up Amounts

If discrepancies arise between your actual payment amount and the credited balance on the Platform due to Halo Reels Pro system failures, we will reconcile and correct the difference provided backend data is recoverable and you furnish valid payment proof.

Specific handling rules:

  1. If the Platform credited less than your actual payment, Halo Reels Pro will make up the shortfall upon verification;
  2. If the Platform credited more than your actual payment, Halo Reels Pro reserves the right to recover the excess amount.

4.7 Advertisement Display

Halo Reels Pro may display commercial advertisements or non-commercial promotional content during service provision, either directly or through authorized partner advertisers.

The Platform may adjust ad delivery channels, coverage and display formats at its business discretion without prior notice to Users.

Halo Reels Pro only fulfills legal obligations incumbent on advertisement publishers. You shall independently judge the authenticity, reliability and transaction suitability of all ad content.

You shall bear full liability for purchases, transactions or other activities conducted based on advertisements. Except where Halo Reels Pro is statutorily liable, the Platform shall not compensate for losses arising from ad content or transactions initiated through advertisements.

You may still view Platform advertisements even after purchasing paid Halo Reels Pro functions or services.

You acknowledge that receiving advertisements is one of the conditions enabling Halo Reels Pro to deliver comprehensive Services to all Users. Your acceptance of this Agreement confirms your consent to such advertising arrangements.

V. Permitted Uses of Halo Reels Pro

Unless a separate written agreement is executed between you and Halo Reels Pro, Platform Services may only be used for personal, non-commercial purposes.

You may only access the Platform through channels, programs and methods officially provided or explicitly authorized by Halo Reels Pro.

The rights to use Software and Services granted to you under this Agreement are non-transferable to any other individual or entity.

Without Halo Reels’ prior consent, you may not use plug-ins, add-ons, third-party tools or other technical means to interfere with, disrupt, alter, tamper with or damage Platform Software or Services.

Any such conduct shall be deemed a material breach. Halo Reels Pro may suspend or permanently revoke your service access, and all fees you have paid shall be forfeited as liquidated damages. If actual losses sustained by the Platform exceed such forfeited fees, Halo Reels Pro retains the right to pursue further legal remedies for recovery.

VI. Rules Governing Content Published on the Platform

You shall bear full liability for any content posted, uploaded, transmitted or stored via Halo Reels Pro.

You warrant that all published content has a lawful source, and that you hold full copyright ownership or valid authorization from the relevant rights holders.

You consent to Halo Reels Pro using content submitted or published by you to the extent necessary to perform this Agreement and deliver Platform Services to you.

If a rights holder submits a complaint to Halo Reels Pro alleging your published content infringes their legitimate rights and interests, the Platform reserves the discretion to delete, block or remove the relevant content.

VII. Platform Content and Intellectual Property Rights

All names, commercial identifiers and Logos used by Halo Reels Pro, along with their copyright, trademark and other associated rights, are owned by Halo Reels Pro and protected by applicable law.

All copyrights, trademarks, trade secrets and other intellectual property rights attached to all information, graphics, text, software, audio, images, videos, artworks and other content hosted on the Platform belong to Halo Reels Pro or its respective licensors and enjoy global legal protection.

Without written authorization from Halo Reels Pro or the relevant rights holders, you are prohibited from the following acts involving Platform content:

  1. Modifying or copying;
  2. Distributing, disseminating or reposting;
  3. Publicly displaying or performing;
  4. Transferring, selling or sublicensing to third parties;
  5. Creating derivative works based on such content;
  6. Any other unauthorized exploitation.

Unauthorized exploitation of the Platform’s intellectual property constitutes a material breach. Halo Reels Pro may immediately terminate your service access, require you to destroy all infringing materials obtained or retained by you, and reserve all rights to pursue additional legal recourse.

VIII. Prohibited Conduct on the Platform

When using Halo Reels Pro, you shall comply with all applicable laws and regulations and refrain from engaging in illegal or non-compliant activities via the Platform, including without limitation:

  1. Publishing, disseminating, transmitting or storing content that endangers national security, national unification, social stability, public order or public morality;
  2. Posting insulting, defamatory, pornographic, violent or other illegal information;
  3. Distributing content that infringes others’ intellectual property rights, trade secrets or other legitimate civil rights and interests;
  4. Maliciously fabricating facts or concealing truth to mislead or defraud other Users;
  5. Bulk sending commercial advertisements, spam or other harassing content;
  6. Other activities prohibited by law and regulations.

If you engage in the foregoing conduct, regulatory authorities may institute legal proceedings, impose fines or other administrative penalties against you in accordance with law, and may demand cooperation from Halo Reels Pro in investigations. You shall bear all associated liabilities and losses.

Upon discovering non-compliant content or receiving user reports, Halo Reels Pro may elect to delete, block or remove such content, and exercise one or more of the following measures:

  1. Suspend or terminate Services;
  2. Restrict or freeze your account;
  3. Permanently close your account;
  4. Initiate legal proceedings for liability recovery.

You shall independently compensate any third parties harmed by your violations. You shall also indemnify Halo Reels Pro for all losses, claims, penalties or other expenditures incurred as a result of your conduct.

All acts listed in this Section constitute material breaches of this Agreement. Halo Reels Pro may cease service provision to you, and all fees paid by you shall be retained as liquidated damages without refund. If such fees fail to cover the Platform’s actual losses, Halo Reels Pro may pursue further recovery.

IX. Local Laws, Customs and Public Incidents

While using Halo Reels Pro, you shall abide by applicable local laws and regulations and respect local customs and conventions.

You shall bear all consequences arising from violations of local laws, regulations or customary norms.

You may not use Halo Reels Pro Services to involve the Platform in political or public incidents. In such cases, Halo Reels Pro reserves the right to suspend or terminate your service access.

Such conduct constitutes a material breach. The Platform may forfeit all fees you have paid as liquidated damages, and pursue additional compensation if the forfeited amount is insufficient to cover Halo Reels’ losses.

X. External Websites, Third-Party Products and Services

When accessing third-party products, content or services via Halo Reels Pro, you shall comply with both this Agreement and the service terms and rules formulated by the relevant third parties.

Halo Reels Pro and third-party service providers shall each bear respective obligations in accordance with law and their separate contractual arrangements.

Disputes arising from third-party products or services shall be resolved separately by Halo Reels Pro and the relevant third parties within their respective scopes of liability, with neither party assuming responsibility for the other’s obligations.

XI. Service Status and Potential Modifications

Halo Reels Pro provides Services on an "as-is" and "as-available" basis, subject to its existing technical capabilities and operational conditions.

We will adopt commercially reasonable measures to maintain service security and stability, but cannot guarantee all legal, technical or external risks can be foreseen, avoided or eliminated entirely.

Circumstances that may disrupt Services include but are not limited to: force majeure, computer viruses, Trojans or other malicious programs, hacker attacks, failures of software, systems, hardware or communication lines, service outages, data loss, malfunctions of third-party products or services, government administrative acts, and other events beyond the Platform’s reasonable control.

Halo Reels Pro may adjust all or part of its Services in response to business, technical or operational developments, including temporary shutdowns, suspension or permanent termination.

XII. Circumstances Permitting Immediate Account or Service Termination

Halo Reels Pro may immediately terminate your access to relevant Services without separate notice upon the occurrence of any of the following:

  1. You are required by law to submit truthful information, yet provide false or inconsistent materials without reasonable explanation;
  2. You violate any applicable law, regulation or provision of this Agreement;
  3. Governmental or judicial authorities issue legal instruments ordering account closure or service termination;
  4. Service termination is necessary for Platform security or other legitimate operational reasons.

XIII. Network Risks, Force Majeure and Liability Scope

13.1 Force Majeure

You acknowledge that network Services may be interrupted by unforeseeable, unavoidable and insurmountable objective events.

Force majeure includes without limitation natural disasters, wars, social unrest and government administrative acts.

Upon occurrence of force majeure, Halo Reels Pro will make reasonable efforts to assist with service restoration or repair, but shall not be liable for losses caused by force majeure to the fullest extent permitted by law.

13.2 Disclaimers for Service Interruptions

To the extent permitted by law, Halo Reels Pro shall not be liable for service malfunctions or outages caused by:

  1. Computer viruses, Trojans, malicious programs or hacker attacks;
  2. Failures of software, systems, hardware or communication lines used by you or Halo Reels Pro;
  3. Improper user operation;
  4. Unauthorized or non-compliant use of Platform Services by Users;
  5. Other objective circumstances beyond Halo Reels’ reasonable control.

13.3 Online Content and Other User Conduct

You acknowledge inherent risks associated with online information and other Users’ behavior.

Halo Reels Pro does not warrant the authenticity, suitability or legality of online information, and shall not be liable for infringement damages stemming from such information or other Users’ acts.

Such risks include without limitation:

  1. Threatening, defamatory, objectionable or illegal content posted by other Users;
  2. Mental, physical or property losses sustained by you due to fraudulent or deceptive conduct of other Users related to Service use;
  3. Other risks arising from online information or User behavior.

13.4 High-Risk Usage Scenarios

Halo Reels Pro is not designed for high-risk critical applications including nuclear facilities, military operations, medical treatment and transportation management.

Halo Reels Pro shall not be liable for personal injury, death, property damage or environmental pollution caused by system or service failures when used in the foregoing scenarios.

13.5 Capacity to Manage Non-Compliant Content

Halo Reels Pro has the right, but not the obligation, to inspect and address non-compliant content under this Agreement, and does not guarantee timely detection, identification or disposal of all non-compliant content and conduct.

13.6 Anti-Fraud Reminders

Do not trust unsolicited private messages offering loans, requesting account passwords or involving asset transactions.

Verify the identity of the sender before taking any related actions and comply with all anti-fraud guidance issued by Halo Reels Pro.

XIV. Rules for Minor Users

Users under the age of 18 shall read this Agreement and use Halo Reels Pro accompanied and guided by their legal guardians.

Minors shall observe the following guidelines when accessing the internet:

  1. Distinguish clearly between virtual online environments and real life, and avoid internet addiction disrupting study and daily routines;
  2. Proactively protect personal privacy information;
  3. Use the internet reasonably and healthily under guardian guidance;
  4. Avoid activities organized by unfamiliar individuals and illegal online conduct.

Guardians and schools shall exercise necessary supervision over minors’ use of Halo Reels Pro.

Parents are recommended to help minor children identify and evade online risks. If a guardian deems Halo Reels Pro suitable for their minor child (especially children under 10), the guardian may register an account under their own identity and independently assess whether Platform Services are appropriate for the minor.

XV. Agreement Versions and Validity

Your login or use of Halo Reels Pro renders this Agreement legally binding upon you.

Halo Reels Pro may revise and update the content of this Agreement as operational needs arise. The latest revised version will be published on corresponding Platform pages.

Your continued access to or use of Halo Reels Pro following an Agreement update constitutes acceptance of the revised version. If you disagree with the amended Agreement, you shall immediately cease using all Halo Reels Pro products and Services.

Section headings in this Agreement are for reading convenience only and shall not affect the interpretation of individual clauses.

If any provision herein is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

XVI. Governing Law and Dispute Resolution

The formation, validity, interpretation, performance and dispute resolution of this Agreement shall be governed by the laws of mainland People’s Republic of China, excluding conflict of laws rules.

Any dispute arising between you and Halo Reels Pro shall first be resolved through amicable negotiation.

If negotiation fails, the dispute shall be submitted for arbitration to the China International Economic and Trade Arbitration Commission.
